# Special Meeting of NORCAL Mutual Members Rescheduled for April 26, 2021

## Personalized Transaction Information Packets Mailed to NORCAL Mutual Policyholders

In association with the proposed transaction between NORCAL Mutual Insurance Company and ProAssurance Corporation, the California Department of Insurance has affirmed that NORCAL can proceed to a policyholder meeting and vote on the Plan of Conversion.

Transaction packets containing information on the NORCAL Mutual Special Meeting of Members, a voting proxy, and details on the allocation and distribution of financial proceeds to eligible policyholders have been mailed to NORCAL Mutual policyholders. A set of generic (non-personalized) [transaction documents can be found online](https://www.norcal-group.com/pra).

NORCAL Mutual policyholders with questions should contact our information agent, Georgeson, at (888) 206-5970. Policyholders are encouraged to complete and submit the requested information promptly via the secure [conversion website](https://www.norcalconversion.com) or mail. Proxy cards must be received no later than April 21, 2021.

A Special Meeting of NORCAL Mutual Members will take place virtually on April 26, 2021 to approve the transaction. [Register online](https://norcal-group.com/specialmeeting) to attend this meeting.

Please note: This meeting had originally been scheduled for April 12. Updated materials regarding the Special Meeting will be mailed to policyholders on March 12.
