Conversion Approved and NORCAL Insurance Company Directors Elected
The NORCAL Mutual Insurance Company Special Meeting of Members was held yesterday, April 26, 2021. Eligible members of NORCAL Mutual had the opportunity to vote on proposals related to the NORCAL + ProAssurance transaction, including approval of the Plan of Conversion, the Amended and Restated Articles of Incorporation, the Amended and Restated Bylaws, and the election of NORCAL Insurance Company Director Nominees:

- Robert D. Francis
- Dana S. Hendricks
- Jeffrey P. Lisenby
- Edward L. Rand, Jr.
All proposals were overwhelmingly approved by members in attendance or who voted by proxy, and the proposed transaction is proceeding forward as planned.
